1. Scope

These General Terms and Conditions apply to all orders, purchases and contracts concluded via this website between STEMMER ASSOCIATES GmbH and customers.

Customers within the meaning of these General Terms and Conditions include both consumers and entrepreneurs, unless expressly stated otherwise.

3. Subject Matter of the Contract

The subject matter of the contract is the sale or provision of physical and digital products, in particular books, digital texts, online reading access, audio content and other creative content.

Content provided free of charge, in particular songs that can be listened to free of charge or freely readable content, does not create any entitlement to permanent availability.

4. Conclusion of the Contract

The presentation of products on this website does not constitute a legally binding offer, but rather a non-binding invitation to place an order.

A contract is concluded when the customer completes the order process and STEMMER ASSOCIATES GmbH confirms the order or provides the ordered service.

In the case of digital products and online reading access, access may be provided immediately after successful payment.

5. Prices, Currencies and Payment Terms

The prices stated on the website at the time of the order apply.

All prices are displayed in the currency selected by the customer. Additional shipping costs, taxes, customs duties or other charges, where relevant, are shown separately.

Payment is made using the payment methods offered on the website. Payment processing may be carried out by external payment service providers, in particular Stripe. The terms and conditions of the respective payment service provider may additionally apply to payment processing.

6. Digital Content, Online Reading Access and Rights of Use

For digital content and online reading access, the customer receives a simple, non-exclusive, non-transferable right of use exclusively for personal private use.

Forwarding, reproduction, making available to the public, publication, editing, commercial use or any other exploitation without the prior express consent of STEMMER ASSOCIATES GmbH is not permitted.

Access to digital content may be provided via a personal user account. Access credentials must be treated confidentially and may not be passed on to third parties.

7. Personalized License Notices

Digital content may include a personalized license notice. This license notice serves as proof of lawful use and is assigned exclusively to the respective purchaser.

Removing, altering or obscuring license notices is not permitted.

8. Delivery and Provision

Digital products and online reading access are provided electronically after successful order completion or activation.

Physical products are shipped to the delivery address provided by the customer, provided that shipping is intended.

Delivery times for physical products are stated on the website or during the order process. In the case of pre-orders, in particular books that are produced or shipped only after a minimum number of pre-orders has been reached, shipment will take place only after the conditions described have been met.

9. Pre-Orders of Physical Books

Where physical books are offered as pre-orders, this will be indicated during the order process.

In the case of pre-orders, production and delivery may depend on a certain minimum number of pre-orders being reached. Before completing the order, the customer will be informed of the essential terms of the pre-order.

Digital content provided in addition to a pre-order may be made available independently of the later delivery of the physical book.

10. Voluntary Support

The website may offer the possibility to voluntarily provide financial support for the creative work or the project.

Such voluntary support is not the purchase price for a specific product, unless expressly stated otherwise in the respective support process. Voluntary support does not create any entitlement to a specific consideration, specific content or the permanent provision of free content.

Where voluntary support is made via the website or via a payment method provided by STEMMER ASSOCIATES GmbH, the payment recipient is STEMMER ASSOCIATES GmbH, unless another payment recipient is expressly stated in the respective payment process.

11. Right of Withdrawal for Consumers

Consumers generally have a statutory right of withdrawal.

Details are set out in the separate withdrawal instructions provided on the website.

In the case of digital content or digital services, the right of withdrawal may expire prematurely if the customer expressly agrees that performance of the contract will begin before the expiry of the withdrawal period and confirms that they thereby lose their right of withdrawal.

12. Warranty

Statutory warranty rights apply.

The statutory provisions on defects apply to physical products. The statutory provisions on digital products apply to digital products and digital services, insofar as they are applicable.

13. Availability and Technical Requirements

STEMMER ASSOCIATES GmbH endeavors to provide digital content and online reading access with as little disruption as possible.

However, uninterrupted availability at all times cannot be guaranteed. Temporary restrictions may arise in particular due to maintenance work, technical disruptions, force majeure or disruptions at external service providers.

The customer is responsible for ensuring that the technical requirements for accessing digital content are met, in particular internet access, browser and suitable end devices.

14. Liability

STEMMER ASSOCIATES GmbH is liable without limitation in cases of intent and gross negligence as well as for damages resulting from injury to life, body or health.

In all other cases, STEMMER ASSOCIATES GmbH is liable only for breaches of essential contractual obligations. In such cases, liability is limited to the typical, foreseeable damage, unless mandatory statutory provisions provide otherwise.

15. Copyrights

All content provided on the website, in particular texts, books, music, audio content, images, graphics, designs and other creative content, is protected by copyright unless expressly marked as freely usable.

Any use beyond the contractually granted rights of use requires the prior written consent of the respective rights holders.

16. Applicable Law

Swiss law applies, excluding the UN Convention on Contracts for the International Sale of Goods, unless mandatory consumer protection provisions provide otherwise.

If the customer is a consumer habitually resident in a Member State of the European Union, mandatory consumer protection provisions of the country in which the customer has their habitual residence remain unaffected.

17. Dispute Resolution

STEMMER ASSOCIATES GmbH is not obliged and not willing to participate in dispute resolution proceedings before a consumer arbitration board.

18. Final Provisions

Should individual provisions of these General Terms and Conditions be or become invalid in whole or in part, the validity of the remaining provisions shall remain unaffected.

The statutory provisions shall apply in place of the invalid provision.
